Han Xiao is currently serving as the Vice Chairman of the Supervisory Board and Director of the Department of State-Owned Assets Legal Affairs at Yingke Law Firm (Zhengzhou Branch). He is also a legal expert in the recommendation database of the Henan Provincial Department of Finance, a permanent director of the Henan Provincial Law Society, and a member of the Expert Committee of the PPP Consulting and Research Center under the Industry Reform and Enterprise Development Committee of the China Economic System Reform Research Association.
Han Xiao specializes in foreign-related legal affairs, investment and financing legal services, and state-owned assets legal matters. He is particularly skilled in foreign investment, overseas mergers and acquisitions, foreign-related dispute resolution, supervision and management of state-owned assets, daily legal affairs of government financing platform companies, and the establishment of government funds.
Han Xiao has participated in several large-scale domestic and international restructuring and merger projects involving enterprises and listed companies. He is experienced in due diligence for domestic and foreign mergers and acquisitions, drafting contracts and documents, negotiating, providing legal opinions on required authorizations and approval procedures for transactions, and issuing legal opinions as required by clients or regulatory authorities. He has also been involved in designing and optimizing transaction structures, drafting and negotiating asset or equity transfer (acquisition) agreements, spin-off (establishment) agreements, merger agreements, and other related transaction documents. Additionally, he provides legal consultations on government approvals, filing, registration, and exemptions, and assists in handling statutory procedures and formalities related to the transaction’s completion.
